These Terms of Use (“Terms”) govern your access to and use of the websites, mobile applications, online forms, landing pages, digital services, online stores, content, products, programs, certifications, and other services operated or provided by Parisi Training Systems, Inc. (“Parisi,” the “Company,” “we,” “our,” or “us”) that link to these Terms (collectively, the “Services”).

By accessing or using the Services, purchasing a product or service from us, creating an account, or otherwise using our Services, you agree to be bound by these Terms and any additional policies referenced herein.

Please read these Terms carefully before using our Services. If you do not agree with these Terms, you should not access or use the Services.

We may update these Terms periodically. The most current version will be posted on this page with the applicable “Last Updated” date. Your continued use of the Services after an updated version becomes effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

II. Eligibility

By using our Services, you represent that you are legally capable of entering into a binding agreement.

Our Services are generally intended for adults. If you permit a minor dependent to use any Service where such use is appropriate, you are responsible for supervising that use and ensuring compliance with these Terms.

  • Coaching and training resources;

  • Consulting or informational calls;

  • Physical products; and

  • Other products or services offered by Parisi from time to time.

Certain products or Services may be available exclusively online and may be subject to availability, enrollment limitations, eligibility requirements, or separate terms.

We reserve the right to modify or discontinue products or Services, change pricing, restrict availability, or limit quantities where permitted by law.

Product and service descriptions, pricing, schedules, dates, instructors, program content, and availability are subject to change.

VI. Purchases, Billing, and Account Information

When making a purchase, you agree to provide current, complete, and accurate purchase and account information.

You agree to promptly update information necessary to process transactions and communicate with you regarding your purchase, including your email address, billing information, and other applicable account information.

We reserve the right to refuse, limit, or cancel an order where permitted by law, including orders that appear fraudulent, unauthorized, duplicative, or otherwise inconsistent with our policies.

If we modify or cancel an order, we may attempt to notify you using the contact information provided with the order.

Refunds, exchanges, cancellations, and other purchase-specific policies may vary depending on the product or Service and may be described separately at the time of purchase.

VII. SMS and Text Messaging Terms

Parisi Training Systems, Inc. SMS Program

Parisi Training Systems, Inc. may offer SMS and text messaging programs to individuals who separately and affirmatively opt in to receive text messages from us.

Depending on the consent you provide, messages may include:

  • Responses to inquiries;

  • Call, consultation, or appointment scheduling;

  • Appointment and call confirmations or reminders;

  • Certification information and updates;

  • Educational program information;

  • Affiliate program information;

  • Follow-up regarding affiliate opportunities;

  • Event information;

  • Customer-service communications;

  • Account or transaction-related information;

  • Program updates;

  • Marketing messages;

  • Promotional offers; and

  • Other communications consistent with the SMS consent you provided.

Marketing SMS consent and non-marketing SMS consent may be offered separately. You may choose whether to consent to one, both, or neither type of messaging where those options are presented.

Consent to receive marketing text messages is not a condition of purchasing any product or service.

Message Frequency

Message frequency varies depending on your relationship and interactions with Parisi Training Systems, Inc., the programs in which you participate, and the types of communications you have elected to receive.

Message and Data Rates

Message and data rates may apply to messages sent to you from us and to messages you send to us. Your wireless carrier's messaging and data rates and terms apply.

Contact your wireless carrier if you have questions regarding your text messaging or data plan.

How to Opt Out

You may cancel SMS messaging at any time.

Reply STOP to any text message from Parisi Training Systems, Inc. to opt out.

After you send STOP, we may send you a final SMS confirming that you have been unsubscribed. After your opt-out request has been processed, you will no longer receive SMS messages covered by that subscription unless you subsequently opt in again.

Other commonly recognized opt-out keywords may also be honored where supported by our messaging provider.

If you later wish to receive messages again, you may enroll again using the same opt-in process through which SMS consent is offered.

Carrier Liability

Wireless carriers are not liable for delayed or undelivered messages.

Message delivery is subject to effective transmission by your wireless carrier and is outside Parisi Training Systems, Inc.'s complete control.

Supported Carriers and Devices

SMS availability may depend on your wireless carrier, mobile device, geographic location, and service plan. Not all carriers or devices may support all messaging functionality.

Your Mobile Number

You represent that the mobile telephone number you provide belongs to you or that you are authorized to provide it and consent to communications at that number.

If you change, deactivate, transfer, or relinquish your mobile number, you should notify us or opt out before the number is assigned to another person.

SMS Privacy

Your participation in our SMS messaging programs is also governed by our Privacy Notice.

Mobile information and text messaging opt-in data and consent will be handled in accordance with our Privacy Notice and will not be shared with third parties or affiliates for their own marketing or promotional purposes.

VIII. Email and Other Communications

Where permitted by applicable law, we may communicate with you by email regarding products, services, programs, transactions, events, business opportunities, or other matters.

Marketing emails will provide an unsubscribe mechanism where required.

Unsubscribing from marketing email does not necessarily prevent us from sending transactional, administrative, security, account, or other non-marketing communications where permitted.

Email preferences and SMS preferences are managed separately. Unsubscribing from one communication channel does not necessarily unsubscribe you from another channel.

IX. Optional and Third-Party Tools

We may provide access to or integrations with third-party tools, platforms, technologies, payment processors, communications systems, or other services.

Some third-party tools may be provided “as is” and “as available” and may be subject to the third party's own terms and privacy policies.

Your use of a third-party service may create a separate relationship between you and that provider. We are not responsible for the operation, availability, or independent practices of third-party services except as required by applicable law.

Our Services may contain links to websites, applications, products, content, or services operated by third parties.

We are not responsible for the content, accuracy, availability, security, privacy practices, products, or services provided by independent third parties.

XI. User Comments, Feedback, and Submissions

If you voluntarily submit feedback, suggestions, ideas, testimonials, comments, proposals, or similar materials to us, you represent that you have the right to provide them.

Unless otherwise agreed in writing or prohibited by applicable law, you grant Parisi a non-exclusive, worldwide, royalty-free right to use feedback or suggestions for legitimate business purposes.

You agree that your submissions will not:

  • Violate another person's intellectual property, privacy, publicity, contractual, or other rights;

  • Contain unlawful, defamatory, abusive, or fraudulent material;

  • Contain viruses, malware, or malicious code;

  • Misrepresent your identity or affiliation; or

  • Otherwise violate applicable law.

Information available through the Services may occasionally contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, offers, availability, scheduling, shipping, or other matters.

We reserve the right to correct errors, inaccuracies, or omissions and to update information or cancel orders where appropriate, including after an order has been submitted, subject to applicable law.

XIV. Prohibited Uses

You may not use the Services:

  • For an unlawful purpose;

  • To solicit or encourage unlawful acts;

  • To violate applicable laws or regulations;

Unless otherwise indicated, the Services and their contents, including text, graphics, logos, trademarks, service marks, images, videos, educational materials, training materials, course content, designs, software, and other materials, are owned by or licensed to Parisi Training Systems, Inc. and are protected by applicable intellectual-property laws.

Nothing in these Terms grants you ownership of Parisi intellectual property.

You may use purchased or authorized content only for the purposes and under the license or permissions associated with that product or Service.

XVI. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

WE DO NOT GUARANTEE THAT THE SERVICES WILL ALWAYS BE UNINTERRUPTED, TIMELY, SECURE, ACCURATE, COMPLETE, OR ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES THAT ARE NOT EXPRESSLY PROVIDED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Some jurisdictions do not permit certain warranty disclaimers, so portions of this section may not apply to you.

XVII. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PARISI TRAINING SYSTEMS, INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES.

WHERE A JURISDICTION DOES NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Nothing in these Terms limits liability where doing so would be prohibited by applicable law.

XVIII. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Parisi Training Systems, Inc. and its parents, subsidiaries, affiliates, partners, officers, directors, employees, agents, contractors, licensors, service providers, vendors, and suppliers from claims, damages, liabilities, costs, or expenses arising from:

  • Your material breach of these Terms;

  • Your unlawful use of the Services; or

  • Your violation of another person's rights.

XIX. Termination

These Terms remain effective while you use the Services.

You may stop using our Services at any time.

We may restrict or terminate access to all or part of the Services if we reasonably believe you have violated these Terms, engaged in fraudulent or unlawful conduct, created a security risk, or otherwise misused the Services.

Provisions that by their nature should survive termination will remain in effect after termination.

XX. Severability and Waiver

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will continue in effect.

Our failure to enforce a provision of these Terms does not constitute a waiver of that provision or any other right.

XXI. Entire Agreement

These Terms, together with our Privacy Notice and any product-, program-, enrollment-, purchase-, or service-specific agreements presented to you, constitute the applicable agreement between you and Parisi regarding your use of the Services.

If separate terms apply to a particular product or Service and conflict with these Terms, the more specific terms will govern with respect to that product or Service unless otherwise stated.

XXII. Governing Law

These Terms and any separate agreements through which we provide Services will be governed by and construed in accordance with the laws of the State of New Jersey, without regard to conflict-of-law principles, except where applicable law requires otherwise.

XXIII. Changes to These Terms

We may update these Terms periodically to reflect changes in our Services, business practices, technology, legal requirements, or messaging programs.

When we update these Terms, we will revise the “Last Updated” date at the top of this page.

Where required by applicable law, we may provide additional notice regarding material changes.
